Everything Airbags (Pty) Ltd

These Terms & Conditions of Sale (“Terms”) govern all quotations, sales, supplies, services, repairs, refurbishments, installations, inspections, diagnostics, online transactions, and business dealings conducted by Everything Airbags (Pty) Ltd (“the Company”, “we”, “our”, or “us”).
By requesting a quotation, purchasing products, booking services, making payment, accepting delivery, or engaging with the Company in any manner, the customer (“the Customer”, “you”, or “your”) acknowledges and agrees to be legally bound by these Terms.
1. Scope of Application
These Terms apply to:
- All retail and wholesale transactions
- In-store, online, telephonic, WhatsApp, social media, and email sales
- Product sales and service work
- Airbag and SRS component refurbishment
- Module repairs and resets
- Supply of replacement components
- Labour, diagnostics, inspections, and technical advice
No employee, representative, installer, technician, or third party is authorized to alter these Terms unless confirmed in writing by a director of Everything Airbags (Pty) Ltd.
2. Quotations & Pricing
- All quotations are subject to change without notice unless expressly stated otherwise in writing.
- Quotations are valid only for the period specified on the quotation.
- Prices may change due to supplier pricing, currency fluctuations, import costs, availability, or technical reassessment.
- Errors, omissions, typing mistakes, stock inaccuracies, or incorrect pricing may be corrected at any time, including after publication or quotation.
- A quotation does not constitute a binding agreement until payment is received and accepted.
3. Orders & Acceptance
- Orders are only deemed accepted once confirmed by the Company.
- The Company reserves the unrestricted right to refuse, cancel, suspend, or limit any order at its sole discretion.
- The Company may request additional information or verification before processing any transaction.
- Customers are solely responsible for ensuring the correctness of:
- Part numbers
- Vehicle details
- VIN/chassis information
- Compatibility
- Specifications
- Fitment requirements
The Company shall not be liable for errors resulting from incorrect information supplied by the Customer.
4. Payment Terms
- Full payment may be required before processing, ordering, releasing, dispatching, repairing, refurbishing, or delivering any goods.
- Ownership of all goods remains vested in Everything Airbags (Pty) Ltd until cleared payment is received in full.
- Proof of payment does not constitute confirmation of cleared funds.
- The Company reserves the right to withhold goods until payment reflects irrevocably.
- Any outstanding amounts may attract interest at the maximum lawful rate permitted under South African law.
- The Customer shall remain liable for all legal, tracing, collection, attorney, and recovery costs incurred on an attorney-and-client scale.
5. Special Orders & Non-Cancellable Transactions
The following are strictly non-refundable and non-cancellable:
- Special-order items
- Imported products
- Custom-built or programmed units
- Refurbished or restored components prepared for a specific vehicle
- Electrical or coded modules
- Labour and technical services already rendered
Once work has commenced or an item has been ordered specifically for a Customer, cancellation rights fall away except where required by law.
6. Product Condition & Used Components
The Company may supply:
- New
- Refurbished
- Rebuilt
- Reconditioned
- Used
- OEM
- Aftermarket components
Customers acknowledge that:
- Certain refurbished or used items may contain cosmetic imperfections consistent with industry standards
- Used parts are sold subject to availability and condition
- Cosmetic differences do not constitute defects
- Images displayed online may be illustrative only
7. Installation & Technical Responsibility
- All SRS and airbag components must be installed by qualified automotive professionals.
- The Company does not warrant workmanship performed by third parties.
- The Company accepts no responsibility for:
- Incorrect installation
- Incorrect diagnostics
- Wiring faults
- ECU coding failures
- Vehicle software incompatibility
- Failure to calibrate systems
- Additional hidden vehicle damage
Customers assume full responsibility for ensuring proper installation, coding, scanning, calibration, and safety testing.
8. No Guarantee of Airbag Deployment
The Company does not guarantee:
- Airbag deployment performance
- Vehicle crash outcomes
- Occupant protection results
- SRS activation functionality after third-party installation
Vehicle safety systems depend on multiple electronic, structural, mechanical, and diagnostic variables beyond the Company’s control.
9. Inspection & Acceptance of Goods
Customers must inspect all goods immediately upon collection or delivery.
Any claims relating to:
- Damage
- Incorrect supply
- Shortages
- Defects
- Compatibility issues
must be reported in writing within 48 hours of receipt.
Failure to report within this period constitutes conclusive acceptance that:
- Goods were received in good order
- Goods matched the order
- Goods were free from visible defects
10. Returns & Refunds
Returns are governed by the Company’s Refunds & Returns Policy together with applicable South African legislation.
No returns will be accepted for:
- Installed components
- Opened electrical items
- Programmed modules
- Airbags showing signs of tampering
- Incorrectly ordered parts
- Damage caused after delivery
- Labour or completed services
All returns are subject to:
- Inspection
- Testing
- Approval
- Restocking fees where lawful
11. Warranty Limitations
Any warranty provided:
- Is limited strictly to manufacturing or workmanship defects identified by the Company
- Does not cover labour, towing, diagnostics, vehicle hire, loss of income, consequential damages, or third-party expenses
- Becomes void where products:
- Are incorrectly installed
- Are modified or tampered with
- Sustain electrical damage
- Are exposed to water, heat, impact, fire, or misuse
Warranty decisions remain subject to technical inspection by the Company.
12. Limitation of Liability
To the maximum extent permitted by law:
- Everything Airbags (Pty) Ltd shall not be liable for indirect, incidental, consequential, special, or economic loss or damages
- Liability is limited strictly to the purchase value of the affected product or service
- The Company shall not be liable for:
- Personal injury
- Death
- Vehicle damage
- Loss of profits
- Downtime
- Business interruption
- Insurance claims
- Legal claims arising from third-party work or misuse
Nothing in these Terms excludes rights that cannot legally be excluded under the Consumer Protection Act.
13. Customer Indemnity
The Customer indemnifies and holds harmless Everything Airbags (Pty) Ltd, its directors, employees, contractors, suppliers, and affiliates against any claims, losses, liabilities, damages, injuries, costs, or proceedings arising from:
- Improper installation
- Unauthorized repairs
- Vehicle accidents
- Product misuse
- Negligence
- Third-party actions
- Failure to follow manufacturer procedures
14. Collection, Storage & Abandoned Property
- Customers must collect goods or vehicles promptly after notification.
- Storage fees may be charged on uncollected items.
- Goods remaining uncollected for more than 90 days may be sold, disposed of, or retained to recover outstanding costs where permitted by law.
15. Force Majeure
The Company shall not be liable for delays or failure caused by events beyond its reasonable control, including:
- Supplier shortages
- Shipping delays
- Power failures
- Civil unrest
- Natural disasters
- Labour disputes
- Government actions
- Cyber incidents
16. Intellectual Property
All branding, content, images, product descriptions, quotations, documents, and website materials remain the intellectual property of Everything Airbags (Pty) Ltd and may not be copied or reproduced without written consent.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of the appropriate South African courts.
18. Amendments
The Company reserves the right to amend these Terms at any time without prior notice.
The latest published version shall apply to all future transactions.
19. Entire Agreement
These Terms, together with any quotations, invoices, warranties, disclaimers, and policies issued by Everything Airbags (Pty) Ltd, constitute the entire agreement between the parties and supersede all prior discussions or representations unless confirmed in writing by the Company.
